Terms and Conditions for Pass Purchase - BREW 2025

These terms and conditions ("Terms") govern the purchase and use of Passes for the BREW 2025 ("Event") organized by Audacious Innovations, a Tennessee Limited Liability Company, d/b/a Moble Bev. Pros. ("Organizer"). By purchasing a pass for the Event, you ("Attendee") agree to be bound by these Terms. Please read these Terms carefully before purchasing your pass.

1. Event Pass Purchase and Confirmation

Passes for the Event can be purchased only through our official website. All pass purchases are subject to availability and are confirmed only upon receipt of full payment. Attendees will receive a confirmation email upon successful purchase, confirming payment received. Please retain this email for future reference.

2. Pass Validity and Entry

Each pass grants one (1) individual entry to the Event for the specified dates. Passes are non-transferable, non-exchangeable, and non-refundable, except as expressly stated in these Terms or as approved by Organizer in writing.

3. Event Schedule and Program
(a) The Event is scheduled for the following dates: January 12th - 15th 2025. Detailed schedule can be viewed here.

4. Age Requirement

The Event is open to individuals aged 21 years and above. Attendees must be able to present a valid government-issued photo ID for age verification at the event registration if requested.

5. Event Conduct and Compliance

Attendees are expected to conduct themselves in a professional and respectful manner throughout the Event. Attendees must comply with all rules, regulations, and guidelines set forth by the Organizer and the venue during the Event.

6. Health, Safety, and Acknowledgement of Risks

You fully understand that: the novel coronavirus SARS-CoV-2 and any resulting disease (together with any variation thereof, "COVID-19") is an extremely contagious disease that can lead to severe illness and death, and there is an inherent danger and risk of exposure to COVID-19 in any place where people are present; no Safety Protocols can eliminate the risk of exposure to COVID-19 or other contagious diseases; while people of all ages and health conditions can be and have been adversely affected by COVID-19, according to the Center for Disease Control and Prevention (CDC) and other public health authorities (i) people with certain underlying medical conditions are or may be especially vulnerable; and (ii) the risk of severe illness from the contraction of COVID-19 increases steadily with age, and contracting COVID-19 can result in the further transmission of COVID-19 to Entrant’s spouse, family members, and other persons in proximity to Entrant’s; and exposure to COVID-19 can result in subsequent quarantine, illness, disability, other short-term and long-term physical and/or mental health effects, and/or death, regardless of age or health condition at the time of exposure and/or infection.

Attendees agree to adhere to all health and safety protocols and guidelines established by the Organizer and the venue. The Organizer reserves the right to deny entry or request the departure of any Attendee displaying symptoms of illness or behaving inappropriately, with no obligation to refund the pass. You hereby acknowledge and agree that in the absence of any negligence or other breach of duty by Organizer or the Released Parties, entry to the Venue and attendance at the Event is entirely at your own risk.

7. Cancellation and Refund Policy

Attendee’s acknowledge the limited number of passes and space available for the Event. In the event of Event cancellation by the Organizer, Attendees will be entitled to a partial refund of the passes which will be determined by overhead and administrative fees obligated by the contracted venue. Attendees requesting a refund for personal reasons must submit their refund request in writing to hello@moblebevpros.com 30 days prior to the event date (“Deadline Date”).

Refunds for personal reasons prior to the Deadline Date are subject to an administrative fee of $100 and will be processed within ten (10) business days. No refunds will be issued after the Refund Deadline Date.

8. Event Postponement or Rescheduling:

In the event of Event postponement or rescheduling, the Organizer will make all reasonable efforts to inform Attendees of the new dates and options available. Attendees unable to attend the rescheduled Event may be eligible for a refund as per the Cancellation and Refund Policy.

9. Intellectual Property Rights and Media Usage:

  1. Ownership of Media: The Organizer shall exclusively own all intellectual property rights, including but not limited to copyrights, trademarks, and any other rights, in all photographs, videos, audio recordings, and any other media captured during the Event ("Event Media"). All Event Media captured by the Organizer is considered the sole and exclusive property of the Organizer, and no rights, licenses, or interests are granted to Attendees.

  2. Prohibited Reproduction and Distribution: Attendee shall not reproduce, copy, distribute, publish, display, or transmit any Event Media, in whole or in part, for any commercial purpose without the prior written consent of the Organizer. Attendees shall not upload, share, or otherwise disseminate Event Media on any online platform, social media, or other public forum for any commercial purpose without the explicit permission of the Organizer.

  3. Authorized Use by the Organizer: The Organizer reserves the right to use Event Media for promotional, marketing, archival, commercial or other legitimate purposes related to the Event and its activities. By attending the Event, Attendees grant the Organizer a royalty-free, worldwide, perpetual license to use their name, image, likeness, and voice, as captured in the Event Media, for the aforementioned purposes.

  4. Unauthorized Use and Enforcement: Any unauthorized use or reproduction of Event Media is a violation of these Terms and may result in legal action by the Organizer to enforce its intellectual property rights, Attendees agree to cooperate with the Organizer and promptly cease any unauthorized use if requested by the Organizer.

  5. ExceptionsandRequestforUse: Attendees who wish to use specific Event Media for personal or non-commercial purposes must seek written permission from the Organizer before doing so. Requests for the use of Event Media for specific purposes may be directed to hello@mobilebevpros.com.

  6. By attending the Event, Attendees acknowledge and agree to the Organizer's ownership of all Event Media and the restrictions on reproduction and distribution as outlined in this Intellectual Property Rights and Media Usage provision. Any breach of this provision may result in the Organizer pursuing appropriate legal remedies.

10. Assumption of Risk, Hazards, and Dangers; Releases

  1. (a)  ATTENDEE, ON BEHALF OF ITSELF AND RELATED PERSONS, HEREBY FULLY UNDERSTANDS AND KNOWINGLY, VOLUNTARILY AND IRREVOCABLY, ASSUMES ALL RISKS, HAZARDS AND DANGERS RELATED TO ENTRY INTO, AND PRESENCE IN, AT AND AROUND THE VENUE AND EVENT, WHICH MAY INCLUDE AN INCREASED RISK OF EXPOSURE TO COMMUNICABLE DISEASES (INCLUDING, WITHOUT LIMITATION, COVID-19), VIRUSES, BACTERIA OR ILLNESSES OR THE CAUSE THEREOF, SICKNESS, PERSONAL INJURY, DISABILITY, OTHER SHORT-TERM OR LONG-TERM HEALTH EFFECTS, AND/OR DEATH, WHICH MIGHT RESULT FROM THE ACTIONS, INACTIONS, OR NEGLIGENCE OF ATTENDEE OR VENUE, ANY OF THE RELEASED PARTIES (AS DEFINED BELOW), OR OTHER THIRD PARTIES, WHETHER OCCURRING BEFORE, DURING OR AFTER THE EVENT, HOWEVER CAUSED AND WHETHER INSIDE OR OUTSIDE OF THE VENUE. HOLDER HEREBY ACCEPTS PERSONAL RESPONSIBILITY FOR ITS VOLUNTARY PARTICIPATION IN/AT THE EVENT. HOLDER HEREBY ASSUMES, ON BEHALF OF ITSELF AND RELATED PERSONS, ALL RESPONSIBILITY OF CLAIMS AND POTENTIAL CLAIMS RELATING TO THE RISK, HAZARDS AND DANGERS DESCRIBED IN THIS AGREEMENT.

  2. (b)  ON BEHALF OF ITSELF AND RELATED PERSONS, ATTENDEE HEREBY WAIVES, RELEASES AND FOREVER DISCHARGES ANY AND ALL CLAIMS OR CAUSES OF ACTION, NOW KNOWN OR HEREAFTER KNOWN IN ANY JURISDICTION THROUGHOUT THE WORLD, AGAINST AUDACIOUS INNOVATIONS (D/B/A MOBILE BEV PROS), ITS SUCCESSORS, ASSIGNS, AND SUBCONTRACTORS, INCLUDING, WITHOUT LIMITATION, ANY BODILY INJURY OR DISABILITY, ILLNESS OR DISEASE, ACCIDENT, DEATH, FINANCIAL LOSS, PROPERTY LOSS, DAMAGE, DESTRUCTION, DELAY, INCONVENIENCE OR OTHER HARM OF WHATEVER NATURE THAT MAY BE DIRECTLY OR INDIRECTLY RELATED TO, ARISING FROM OR SUSTAINED FROM PARTICIPATION IN THE EVENT AND/OR TRAVEL TO OR FROM OR VISIT TO OR USE OF THE VENUE OR ACTIVITIES RELATED THERETO, NEGLIGENT FIRST AID OR EMERGENCY RESPONSE OF THE RELEASED

PARTIES OR OTHER NEGLIGENT ACT OR OMISSION OR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY OF ANY RELEASED PARTIES OR OTHERWISE, PROVIDED, HOWEVER, THAT NOTHING IN THIS SECTION SHALL BE DEEMED TO RELEASE ANY RELEASED PARTY FROM LIABILITY ARISING FROM THEIR OWN INTENTIONAL OR WILLFUL INJURY TO ATTENDEE OR ITS PROPERTY.

11. Severability
In the event that the operation of any portion of these Terms results in a violation of any law, or any provision is determined by a court of competent jurisdiction to be invalid or unenforceable, the Parties agree that such portion or provision shall be severable and that the remaining provisions of the Agreement shall continue in full force and effect.

12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Tennessee without regard to its conflicts of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sumner County, Tennessee.

13. Modifications to Terms
The Organizer reserves the right to modify, amend, or update these Terms at any time without prior notice. It is the responsibility of Attendees to review these Terms periodically for any changes. By purchasing a pass to the Event, you acknowledge that you have read, understood, and agree to abide by these Terms and any additional guidelines provided by the Organizer.
